EVNT — Terms of Service

1. Introduction

Welcome to EVNT ("EVNT," "we," "us," "our"). These Terms of Service ("Terms") govern your use of our websites, apps, and services (collectively, the "Service"). Our Privacy Policy is incorporated into these Terms. By accessing or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

Marketplace role. EVNT operates a technology platform that enables organizers, venues, and promoters ("Organizers") to list events and sell tickets to attendees ("Users" or "you"). Except where we expressly state otherwise, EVNT is not the seller, organizer, or producer of events and does not control event operations.

2. Communications and SMS Program

Transactional messages. By creating an account, you agree to receive messages necessary to provide the Service — password resets, ticket confirmations, and updates about events you are attending.

Marketing messages. Marketing emails and text messages are optional and require your separate, express consent, given by selecting a checkbox that is not pre-selected.

  • Consent is not a condition of purchase. You may buy tickets without agreeing to receive marketing messages.
  • Message frequency varies. Message and data rates may apply.
  • Reply STOP to opt out. Reply HELP for help.
  • If you change phone numbers, opt out from your old number first.
  • Delivery depends on carriers and networks and is not guaranteed.

3. Accounts and Eligibility

You must be 18 or older and provide accurate, current information. You are responsible for your credentials and all activity under your account. Notify us immediately of any unauthorized use. We may refuse or terminate accounts at our discretion.

4. Role of Organizers; Payments and Taxes

  • The Organizer is the merchant of record unless EVNT explicitly states that EVNT is the seller at checkout.
  • Organizers are solely responsible for event quality, safety, admissions, and compliance, and for honoring any legal refund obligations.
  • Payment processing is provided by third-party processors, including Stripe. Your purchase may be subject to their terms.
  • Prices and fees, including service, processing, and applicable taxes, are disclosed before checkout is completed.
  • Organizers are responsible for collecting and remitting applicable taxes unless EVNT is designated to do so.

5. Refunds, Cancellations, and Postponements

ALL SALES ARE FINAL. NO REFUNDS EXCEPT AS REQUIRED BY LAW OR FOR CANCELED EVENTS.

  • Canceled events. If an event is canceled and not rescheduled, you are entitled to a refund of the ticket price — and, where required by law, applicable fees and taxes — from the responsible seller.
  • Postponed or rescheduled events. Your ticket will generally be valid for the new date. Where required by law, you may be entitled to a refund on request.
  • Material changes. Where required by law, a material change to an event may trigger a refund right.
  • Fees. Except where prohibited by law, EVNT may exclude delivery and processing fees from refunds where those costs were incurred and disclosed.
  • How to request. Follow the instructions in your order confirmation, or contact us at info@findevnt.com.
  • Chargebacks. Fraudulent or abusive chargebacks may result in account suspension and recovery of amounts owed.

6. Ticket Use, Transfers, and Prohibited Conduct

  • Tickets are digital credentials presented as QR codes. Do not share ticket screenshots publicly.
  • We may limit or disable transfers to combat fraud.
  • Prohibited: bots and scrapers, speculative listing, counterfeit or resale outside approved channels, circumventing purchase limits, and interfering with the Service.

7. Event Risks and Safety

Attendance at live events involves inherent risks, including crowds and weather. By attending, you assume all such risks to the fullest extent permitted by law. Organizers control entry, seating, security, age restrictions, and health and safety protocols.

8. User Content and License

You are responsible for content you post, including profile photos, event images, and artist photos. You grant EVNT a worldwide, royalty-free license to host, display, adapt, and distribute your content for the operation of the Service. Do not post infringing, unlawful, or harmful content. We may remove or moderate content at our discretion.

9. Intellectual Property

The Service, EVNT marks, logos, code, and designs are the property of EVNT or its licensors. You receive a limited, revocable, non-transferable license to use our apps and sites for their intended purpose.

Third-party marks displayed within the Service, including those of music and social platforms linked from artist profiles, remain the property of their respective owners.

10. Prohibited Uses

No unlawful, infringing, harassing, or harmful use. No interference with the Service. No viruses or malware. No scraping or automated data extraction without consent. No impersonation or misrepresentation.

11. Third-Party Links and Services

We are not responsible for third-party sites, apps, payment processors, or networks.

12. DMCA and IP Complaints

If you believe content on the Service infringes your copyright, send a notice to our Copyright Agent at info@findevnt.com with the elements required by 17 U.S.C. §512(c)(3). We may remove content and terminate repeat infringers.

13. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties to the fullest extent allowed by law, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee event occurrence, admission, or uninterrupted Service.

14. Limitation of Liability

To the fullest extent permitted by law, EVNT and its affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages. Our aggregate liability is limited to the amount you paid for the underlying transaction or transactions in the 12 months preceding the claim. Some jurisdictions do not allow certain limitations, so these may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless EVNT and its affiliates from claims arising out of your use of the Service or event attendance, your content, your violation of these Terms, or your violation of law or third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflicts principles.

Any dispute will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association in Hillsborough County, Florida. Class actions and jury trials are waived. You may opt out of arbitration within 30 days of first accepting these Terms by written notice to info@findevnt.com.

17. Changes to Service and Terms

We may modify or discontinue the Service, and we may update these Terms. Continued use after changes means you accept the updated Terms.

18. Termination

We may suspend or terminate accounts for any reason, including violations of these Terms or suspected fraud. Sections intended to survive termination will survive.
